Please read these Terms of Service (“Terms”, “TOS”) carefully before using the Wavelinks music multilink landing page application (the “Service” or “Wavelinks”) operated by DXM, LLC (“us”, “we”, or “our”).
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.
1. Description of Service
Wavelinks provides a software platform that allows users to create, deploy, and manage music smart links, artist landing pages, and content aggregation tools. The Service also includes data storage, click-through analytics, and integrations related to music streaming services and social media platforms.
2. User Account and Responsibility
2.1 Account Eligibility
You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you have the full authority to enter into these Terms and, if you are acting on behalf of an entity, that you have the authority to bind that entity to these Terms.
2.2 Account Security
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
3. User Content and Conduct
3.1 Definition of User Data
"User Data" refers to all text, data, links, images, audio, information, and materials uploaded, submitted, posted, or otherwise transmitted by you through the Service, including artist profiles, album artwork, and page interaction analytics.
3.2 Ownership
You retain all ownership rights to your User Data. We do not claim ownership over any of your User Data, but you grant Wavelinks a worldwide, royalty-free license to use, store, process, and display your User Data solely as necessary to provide, maintain, and improve the Service.
3.3 Acceptable Use Policy (AUP)
You agree not to use the Service:
In any way that violates any applicable local, national, or international law, including, but not limited to, copyright and intellectual property laws.
To host or link to phishing sites or pages designed to deceptively collect sensitive personal information (e.g., medical records, financial account numbers, credit card details).
To transmit any unsolicited or unauthorized advertising, promotional materials, "spam," or any other form of similar solicitation (e.g., using Wavelinks pages for link spamming).
To host or transmit material that is unlawful, harmful, threatening, abusive, defamatory, or violates intellectual property rights (such as unauthorized distribution of music or artwork).
3.4 Data Privacy and Compliance
You are solely responsible for ensuring that your content and the links you distribute comply with all applicable privacy and data protection laws. This includes ensuring you have the right to link to the third-party platforms included on your Wavelinks pages.
4. Billing and Payment
4.1 Subscription
The Service is billed on a subscription basis (if applicable). You will be billed in advance on a recurring, periodic basis.
4.2 Fee Changes
Wavelinks, in its sole discretion, may modify the subscription fees for the Service. Any fee change will become effective at the end of the then-current billing cycle. We will provide you with reasonable prior notice of any change in subscription fees to give you an opportunity to terminate your Service before such change becomes effective.
5. Intellectual Property
The Service and its original content (excluding User Data), features, and functionality are and will remain the exclusive property of DXM, LLC and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Wavelinks.
6. Termination
We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms or violate the Acceptable Use Policy outlined in Section 3.3.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
7. Limitation of Liability
In no event shall Wavelinks, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
8. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Wavelinks does not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Tennessee, USA, without regard to its conflict of law provisions.
